Terms Of Service
1. Agreement
These Terms of Service (“Terms”) govern the relationship between Denex Web (“Denex Web,” “we,” “us,” “our”) and any individual or business (“Client,” “you,” “your”) who purchases our website build services.
By making payment, submitting a setup form, or using our services, you agree to these Terms in full.
2. Nature of the Service
2.1 Denex Web provides a one‑time website build service.
2.2 We build a structured, one‑page website using our proprietary layout system and customise it using the information you provide.
2.3 Upon completion and approval, the website is transferred to your own Wix hosting account.
2.4 After transfer, hosting, platform management, security, domain management, and ongoing maintenance are handled directly by you through Wix.
2.5 Denex Web does not provide ongoing hosting or maintenance unless separately agreed in writing.
3. Website Structure & Included Sections
3.1 The website will follow:
- The layout shown in the preview (first‑draft video), or
- The section structure outlined in the “What We Build” section on our website at the time of purchase.
3.2 The standard structure includes:
- Hero section
- About your business
- Your services & pricing (optional)
- Service areas, gallery & reviews (if relevant)
- Clear contact details
- Footer including privacy policy and terms popup
3.3 Sections such as gallery, service areas, or reviews will only be included where relevant content is provided.
3.4 Denex Web reserves the right, at its sole discretion, to impose reasonable structural limits wherever necessary to maintain design integrity, usability, readability, performance, and overall visual balance.
3.5 This includes (without limitation):
- Limiting highlighted reviews (e.g., typically up to three)
- Capping the number of services listed (e.g., up to ten)
- Grouping or summarising service areas
- Restricting contact methods to phone, WhatsApp, email, business hours, and address (if relevant)
- Excluding additional elements such as custom forms or extra communication systems unless purchased as upgrades
3.6 The service is not a fully custom design engagement. It is a structured build using a proven layout system.
3.7 Sample websites displayed on our homepage represent the layout style and structure provided.
3.8 Any urgent requirements must be communicated clearly in writing before work begins.
4. Intellectual Property
4.1 Denex Web retains ownership of:
- Proprietary templates
- Layout systems
- Structural frameworks
- Internal design processes
4.2 The completed website content (text, images, business details) belongs to the Client after approval and transfer.
4.3 The Client may not copy, redistribute, resell, reverse engineer, or reproduce Denex Web’s proprietary template system.
5. Client Responsibilities
5.1 The Client is responsible for providing accurate, lawful content.
5.2 The Client warrants that supplied materials do not infringe third‑party rights.
5.3 The Client is responsible for domain registration decisions.
5.4 After transfer, the Client assumes full responsibility for:
- Hosting account management
- Domain configuration
- DNS settings
- Platform security
- Ongoing compliance
6. Website Completion & Transfer
6.1 Upon Client approval of the preview, Denex Web will issue a transfer link to move the website to the Client’s Wix hosting account.
6.2 The project is deemed complete upon issuance of the transfer link, regardless of whether the Client immediately accepts the transfer.
6.3 After issuance of the transfer link, Denex Web has no further obligation regarding hosting, domain management, or website control.
7. Build Timeline
7.1 Denex Web aims to deliver the initial preview within 72 hours (3 days) of receiving:
- A fully completed setup form; and
- Domain confirmation (if applicable).
7.2 The 72‑hour timeframe refers to delivery of the preview for review, not the website going live.
7.3 The 72‑hour timeframe is a target guideline and not a contractual guarantee.
7.4 While Denex Web meets this timeline in the vast majority of cases, delays may occasionally occur due to content clarification, domain availability, or unforeseen circumstances.
7.5 In the rare event of delay, Denex Web will communicate promptly with the Client.
7.6 Custom work and paid upgrades are excluded from the 72‑hour timeline.
8. Refund Policy & Satisfaction
8.1 The Client receives one preview and one round of reasonable revisions prior to approval.
8.2 If dissatisfied before approval, the Client may request a refund.
8.3 Refunds prior to approval are granted at Denex Web’s sole discretion as a goodwill gesture.
8.4 Once the Client approves the website and the transfer link is issued, the project is considered complete and non‑refundable.
8.5 Because each website is customised using Denex Web’s proven layout system and adapted to the Client’s business, refunds are not available after approval as the work constitutes custom development that cannot be reversed.
8.6 Paid upgrades and custom features are strictly non‑refundable once work has commenced.
8.7 If the Client requests cancellation before work has commenced and within 24 hours of payment, Denex Web may issue a refund at its sole discretion. Work is considered commenced once the setup form has been reviewed and build preparation has begun.
9. Payments
9.1 Full payment is required before work begins.
9.2 Payments are processed securely via Stripe.
9.3 Denex Web does not store full card details.
10. Third‑Party Services
10.1 Websites are hosted via Wix following transfer.
10.2 Wix operates under its own terms and policies.
10.3 Denex Web is not liable for:
- Hosting outages
- Platform downtime
- Data loss within Wix
- Third‑party changes
11. Limitation of Liability
11.1 To the fullest extent permitted by law, Denex Web shall not be liable for indirect, consequential, or incidental damages.
11.2 Denex Web’s total liability shall not exceed the total amount paid for the website build.
11.3 Nothing in these Terms excludes liability that cannot lawfully be excluded.
12. Indemnification
The Client agrees to indemnify Denex Web against claims arising from:
- Client‑supplied content
- Breach of these Terms
- Misuse of the website
13. Amendments
Denex Web may update these Terms at any time.
Continued use of our services constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the United Kingdom.
16. Client Content, Accuracy & Legal Responsibility
16.1 The Client is solely responsible for the accuracy, legality, and completeness of all content displayed on their website, including but not limited to text, images, reviews, service descriptions, pricing, contact information, policies, and disclaimers.
16.2 Denex Web provides website content structure and, where applicable, template legal pages (such as Privacy Policy or Terms of Service) for general guidance only. Such content does not constitute legal advice.
16.3 Denex Web makes no warranty or representation that any template legal content complies with the specific laws, regulations, or industry requirements applicable to the Client’s business.
16.4 The Client is responsible for reviewing, editing, and ensuring all website content complies with applicable laws in their jurisdiction.
16.5 After the website has been transferred to the Client’s hosting account, the Client is free to edit, modify, or update the website content at their discretion.
16.6 Denex Web shall not be liable for any claims, damages, penalties, or losses arising from the content published on the Client’s website after transfer.
